1. Agreement to terms

These Terms of Service govern your access to and use of Farmleo's website, applications, and related services (collectively, the "Service"). The Service is provided by Farmleo Tech ("we," "our," or "us"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility and account use

• You must be legally capable of entering a binding contract in your jurisdiction.
• You agree to provide accurate registration information and keep it up to date.
• You are responsible for maintaining account security and all activity under your account.
• If you use the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

3. Acceptable use

• You may use the Service only in compliance with applicable laws.
• You must not misuse, disrupt, or attempt unauthorized access to the Service or other accounts.
• You must not upload malware, harmful code, or content that violates third-party rights.
• You must not scrape, reverse engineer, or copy significant parts of the Service except where permitted by law.

4. User content and data

You retain ownership of information and content you submit to the Service. You grant us a non-exclusive, worldwide, royalty-free license to host, process, and display that content solely to operate, maintain, and improve the Service. You represent that you have all rights needed to submit such content.

5. Fees and subscriptions

If paid plans are offered, pricing, billing terms, and renewal details will be shown at purchase. You authorize us (or our payment providers) to charge applicable fees. Except where required by law, paid fees are non-refundable.

6. Service availability and changes

We may modify, suspend, or discontinue any part of the Service, including features and integrations, at any time. We may also update these Terms. Material changes will be reflected with an updated effective date, and continued use after changes become effective means acceptance.

7. Intellectual property

The Service, including software, branding, design, and content provided by us, is owned by Farmleo Tech or its licensors and protected by applicable intellectual property laws. Except as expressly permitted, these Terms do not grant you ownership rights in the Service.

8. Termination and suspension

You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you violated these Terms, created legal or security risk, or where required by law. We may also automatically classify an account as inactive after 12 consecutive months without recorded activity in a Farmleo app or on the Farmleo website. To give farmers time to return, Farmleo will not automatically delete an eligible inactive account before three years of recorded inactivity.

Automatic deletion applies only where there is no active subscription access or staff access override. It does not apply while a legal hold, a valid restriction-of-processing request, an unresolved legal claim, or another legal retention duty requires retention. We do not send an individual reminder before automatic deletion. Once deleted, an account and associated Farmleo production data cannot be recovered from active systems; backup and third-party records are retained only for their documented or legally required periods.

9. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, availability, or accuracy.

10. Limitation of liability

To the maximum extent permitted by law, Farmleo Tech is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, or goodwill arising out of or related to your use of the Service. Where liability cannot be excluded, it will be limited to the minimum extent permitted by applicable law.

11. Indemnity

You agree to indemnify and hold harmless Farmleo Tech from claims, liabilities, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, your content, or your violation of these Terms or applicable law.

12. Governing law

These Terms are governed by applicable laws of Ireland, without prejudice to mandatory consumer protections that may apply in your country of residence.
